Responsabilidad por daños de los administradores. Especial consideración a la acción individual.

Abstract

In this project I’m going to proceed to study and analyse the different types of administrators of a company, in the case of causing damage, this could be to the assets of the company or to the partners that form it. If the damage affects the assets of the company directly, we could enforce what is called social action, where the partners of the company would have to be the ones to respond to it. On the other hand, and in the case where the harmed figure is that of a partner/s, these could enforce what is referred to as individual action. All of which with the aim of having the administrators respond for their actions and that they can be required the responsibility that corresponds to them and grant a certain protection for both the assets and the partners belonging to the company or firm. What’s more, throughout the project a possibility of coexistence in a corporation of so-called administrators in fact and by right will be appreciated, making a clear differentiation between the responsibilities that are attributed to each party

En este trabajo se va a proceder a estudiar y analizar los diferentes tipos de responsabilidad de los administradores de una sociedad, en caso de que causen un perjuicio, que puede ser al propio patrimonio de la sociedad o a los socios que la conforman. Si el daño afecta directamente al patrimonio de la sociedad se podrá ejercitar la llamada acción social, por la que tendrán que responder los administradores. Por otro lado, y en caso de que la figura perjudicada sea la de un socio/s, estos podrán ejercitar la acción individual. Todo ello con ánimo de que los administradores respondan por sus actos y se les pueda exigir la responsabilidad que les corresponde y otorgar cierta protección tanto al patrimonio de la sociedad como a los socios que se incluyen en ella. Además, a lo largo del trabajo se apreciará la posibilidad de coexistencia en una sociedad de los llamados administradores de hecho junto con los de derecho, haciendo una clara diferenciación entre la responsabilidad que se les atribuye a ambos.
