AB This project will answer the question related to the existence of thepartner´s right to demand a concrete dividend´s percentage at the endof every exercise, which could be used to justify the impugnation of thesocial agreements in which it is agreed to not distribute dividends. Inour legal system, in fact, such right does not exists, otherwise, it wouldbe an extremely harmful obligation to corporate entities, specially tothe medium and long term investments, and would affect negatively tothese entities. However, many legal operators had interpreted thearticle 348 bis LSC in the sense, as it really develops this right.In this sense, we could highlight the large amount of sentences whichhas been dictated in use of the article 348 bis LSC, and keepsdemonstrating the real issue surrounding this article.This project will be conformed of an analysis of the generic partner´sright to participate in the corporate earnings, and specially willanalyze the right to receive dividends, following a historic review of theLSC, and the turbulent history of the article 348 bis. To finish the work,it will be analyzed the implications of the articles 348 bis in our legalsystem.
