In such situations, this standard of conduct will require the shareholder to actin the corporate interests at the time.In legal systems around us, the idea that the shareholder must be subject to a duty of loyaltywhen he finds himself in situations of control, which become highly relevant in situations ofeconomic crisis of the company, is already well established. However, in Spain there is noconsensus on the matter. The conceptualisation of the shareholder's duty of loyalty will allowus to identify the protection mechanisms the company and the shareholders against disloyalbehaviour and, in particular, to analyse whether the provisions modulating the shareholder'sactions - in particular in preventive restructuring - impose a duty of loyalty on the shareholder.
