After the approval of Law5/2021, of April 12, this article is amended to extend that possibility to all capitalcompanies, which in practice is not a novelty since the RDGRN of January 8, 2018already admitted that statutory provision for limited liability companies.The real novelty is that for the first time the totally telematic meetings are regulated,a new article 182 bis LCS is introduced that admits that the statutes authorize theadministrators to convene exclusively telematic meetings. In addition, a new thirdparagraph is introduced in article 521 LCS, which regulates the holding of themeeting exclusively telematic for listed companies.This type of joints had been admitted exceptionally and without the need forstatutory provision at the beginning of the pandemic (RDL 8/2020 and RDL11/2020). Hence, given the situation caused by Covid-19 and Directive (EU)2017/828 of the European Parliament and of the Council of May 17, 2017, theSpanish legislator incorporated this type of boards in capital companies.Keywords: telematic assistance, exclusively telematic assistance, electronicmeans, capital companies, general meeting.
