AB Given the growing importance of sustainability in the legal field, its implications should beanalyzed from the perspective of commercial law, specifically from the part of company lawrelating to the legal status of directors. In this sense, it is essential to attend to the evolution ofcontractualist and institutionalist theories, as well as recent legislative reforms and proposals, bothat European Union (in particular the Proposal for a Directive of the European Parliament and ofthe Council on Corporate Sustainability Due Diligence) and national level (specifically thoseoperated in 2014 and 2021). It is therefore appropriate to consider the implications for fiduciaryduties of loyalty and diligence, as well as for the remuneration system. Finally, it is intended toconclude to what extent this branch belonging to private law serves to ensure the improvement ofinterests other than those of shareholders and what would be the optimal way to safeguard theinterests of stakeholders and, ultimately, the general interest.
