Sobre la Venta de la Unidad Productiva

2021Abstract
The purpose of this work is to know the particularities that a new procedure presents
-the pre-pack or previous packaging- within Bankruptcy Law.
We will analyze the impact it has had in neighboring countries, specifically in the
countries of the United Kingdom and the Netherlands. Which and in advance to Spain
have made use of this mechanism. At the same time, we will clarify the most
representative differences between the two laws, as well as the figures that respectively
make the achievement of this procedure possible.
Later we will develop with a greater level of detail how this figure has been
introduced in our country, for this we will make use, among other doctrinal criteria, of
the jurisprudential agreement by the Commercial Judges of Madrid in collaboration
with the Illustrious College of Lawyers and the College of Economists, who have
carried out a Guide of good practices precisely for the voluntary application of the Prepack.
On the basis of said agreement, we will analyze the budgets that in the prebankruptcy phase have to attend to be able to attend the Pre-pack, and later we will see
the scope of said agreements in the bankruptcy phase.
By going to the Pre-pack it is intended to take advantage, at a time prior to the
declaration of the bankruptcy, an instance of the debtor in insolvency, the preparation of
a public, transparent and concurrent procedure for the sale of the Productive Unit; thus
avoiding the damage caused by the delays that the traditional system entails.
For a better understanding, we will place real emphasis on the figure of the
independent expert as a key agent in this procedure, as well as on the concept of the
productive unit, as a primary element of this novel system of action. Este trabajo tiene como propósito conocer las particularidades que presenta un nuevo
procedimiento -el Pre-pack o empaquetamiento previo- dentro del Derecho Concursal.
Analizaremos la incidencia que ha tenido en países de nuestro entorno, en concreto
en los países de Reino Unido y Países Bajos. Los cuales y con antelación a España han
hecho uso de este mecanismo. A su vez matizaremos las diferencias más representativas
entre ambas legislaciones, así como las figuras que hacen posible respectivamente la
consecución de este procedimiento.
Posteriormente desarrollaremos con un mayor nivel de detalle cómo ésta figura se ha
introducido en nuestro país, para ello haremos uso, entre otros criterios doctrinales, del
acuerdo jurisprudencial por los Jueces de lo Mercantil de Madrid en colaboración con el
Ilustre Colegio de Abogados y del Colegio de Economistas, quienes han llevado a cabo
una Guía de buenas prácticas precisamente para la aplicación voluntaria del Pre-pack.
Teniendo como base dicho acuerdo, analizaremos los presupuestos que en fase preconcursal han de concurrir para poder acudir al Pre-pack, y posteriormente veremos el
alcance de dichos acuerdos en fase concursal.
Al acudir al Pre-pack se pretende aventajar, en un momento previo a la declaración
del concurso, a instancia del deudor en situación de insolvencia, la preparación de un
procedimiento público, transparente y concurrencial de venta de la Unidad Productiva,;
evitando de este modo el perjuicio que comporta las dilaciones que el sistema
tradicional acarrea.
Para mejor compresión, haremos real hincapié sobre la figura del experto
independiente como agente clave en este procedimiento, así como sobre el concepto de
unidad productiva, como elemento primordial de este novedoso sistema de actuación.
